Welcome to The ProductsDirect.com’s unique and exclusive ProZone program (“Program"). This Program was created to reward and recognize our professional customers.

ACKNOWLEDGEMENT AND ACCEPTANCE

By participating in the Program, you consent to these Program rules. You acknowledge and agree that (1) you are responsible for remaining knowledgeable about the Program's rules; (2) membership expires and is renewable by The Products Direct in its sole discretion; (3) The Products Direct reserves the right to change the rules or terminate the Program at any time, with or without prior written notice; and (4) you have read and accepted these Program rules.

MEMBERSHIP BENEFITS

  1. ProZone Program. ProZone allows Program members (“Members”) to track their Qualifying Purchases at The Products Direct. As used in these rules, “Qualifying Purchases” are purchases made by Members of designated products and/or services, less any taxes, fees and returns. Members have access to review their Qualifying Purchases history.

  2. Members will receive commissions on Qualifying Purchases as layed out in the enrolled program.

  3. ProZone Program Coupons. The Products Direct may send Members exclusive coupons for qualifying product purchases.

  4. ProZone Program Promotions. From time to time, The Products Direct may conduct sweepstakes and other promotions ("Promotions") for Members. All such Promotions shall be governed by the official rules designated by The Products Direct for each Promotion. Your participation in a Promotion will constitute your acceptance of the applicable official rules.

  5. ProZone Business Tools. The Products Direct may provide Members with links to third parties that offer discounted services and/or products (“Business Tools”) to you.

GENERAL INFORMATION

  1. ProZone Program. Any changes to the Program will be shown in these rules and will be effective immediately upon posting online at www.ProductsDirect.com/ProZone unless stated otherwise. Any changes to any printed version of these rules will be contained in the next reprinting of that printed version. The Products Direct may, in its sole and exclusive discretion, terminate the Program at any time without notice.

Program Period.

  1. The Program is effective on a quarterly basis, from January 1 to March 31, April 1 to June 30, July 1 to September 30, October 1 to December 31.  Each quarter (of each separate calendar year is a “Program Period”). The Products Direct may, in its sole and exclusive discretion, terminate the Program at any time or designate different Program Periods.

Program Types.

  1. ProductsDirect offers out ProZone Programs tailored to the distinct segments served.  Products Direct reserves the right to edit the programs or the number of programs at any time.   Changes to programs will be communicated consistent with notification methods outlined in this agreement.

Qualifying Products.  

  1. Products Direct sells many products. Products and services that are eligible to count towards Qualifying Purchases are subject to change from time to time at The ProductsDirect.com’s discretion.  Products Qualifying for the Prozone Program will be marked as such in on the product page.  Products that do not qualify will have similar markings on the product page and quotes.

Program Construction.

  1. There are 2 aspects to the program wherein in you can gain commission.  Direct Purchases and Indirect Purchases.  Direct purchases are where you are the customer, and you directly buy the product with your account.  Indirect Purchases are are where you have guided or referred another individual to our store to set up and buy products.   These Indirect Purchases are called referral purchases.  The program will assign commission based upon direct and indirect purchases.

Method of Assignment:

  1. Commission is a term used to describe the value received in exchange for an indirect purchase.   Rebate is the term used to describe the value received in return for direct purchases.  The value of the Commission or of the Rebate will be recorded in dollar values and assigned to the ProZone account holder of record as a ProZone Store Credit here inafter "Credit".  

Timing:

  1. Commissions will be allocated upon shipment of the product from Products Direct or any of its supplier.  Confirmation of shipment in the form of a tracking number is the triggering factor. It may take up to 24 hours from receipt of tracking information for the credit to be assigned.  Products Direct Reserves the right to withhold Credit allocation until shipment receipt confirmation is obtained.  

Method of Purchase:

  1. Method of Direct Purchase.  A direct purchase can be from a ProZone Account holder through the website interface at ProductsDirect.com and/or over the phone is speaking to an authorized representative of Products Direct. Method of Indirect Purchase: A direct purchase can be from a ProZone Account holder referral through the website interface at ProductsDirect.com that has been redirected from a ProductsDirect.com provided link, a coupon code or a verbal pronouncement or over the phone when ordering and speaking to an authorized representative of Products Direct.

Qualifying Purchases minimum

  1. There is no minimum purchase required.  Credits begin accruing as soon as the purchase is recognized in accordance with the requirements laid out in this agreement.

Method of Withdrawal

  1. Credit withdrawal:  Credit derived from commissions will remain assigned to the ProZOne account holders and available for purchases unless they specifically request the withdrawal of funds. Requests must be in the form of written email of through the account holders user interface

Duration of Credit:

  1. Credit Expiration: Credit derived from commissions will expire one year from the last day of the program period in which they were allocated. Impending repatriation of allocated credits will be announced with 90, 60 and 30 day notices.  Method of communication will be

Payment Method:  

  1. The default method of payment of Rebates will be in the form of a paper check delivered through the US mail.  Paypal is an available method of payment but it is not default.  If the user wishes to receive money via Paypal, then they will receive the Credits in US Currency minus PayPals transaction fee.  Payment will be as soon as possible but no later than thirty days of the Program Period ending.  Commissions are available as in store credits immediately

Eligibility and Registration.

  1. The Program is available to professional customers of The Products Direct who have fully completed the registration process. To register, visit a The Products Direct store in your area, complete registration (providing, among other things, your company name, mailing address, primary telephone number and valid email address), and read and accept these Program rules. The primary phone number you provide at registration will be your individualized Program identification number (“Program Number”). Registration allows you to register forms of tender that you may utilize for Qualifying Purchases. Tender forms include, but are not limited to, the following: credit card account information, debit card account information, checking account and routing information, and The Products Direct issued “Key Tag” cards.

  1. Providing false information or omitting requested information may be grounds for denial of enrollment, accrual of Qualifying Purchases, and/or suspension of membership. Members must provide a valid email address during registration or, if previously registered without an email address, by contacting the ProZone Customer Care Center.

  1. Member Inactivation/Suspension. Members may choose to inactivate their membership at any time. Additionally, The Products Direct reserves the right to suspend any Member at any time. Further, such suspended or inactive Members will not receive any membership benefits during the period of being inactive or suspension. Members will only begin accruing Qualifying Purchases and receiving applicable Paint Discounts when subsequently activated in the Program by The Products Direct in its sole discretion.

  1. Registered, active Members in good standing who fail to present their Program Number during a sales transaction and/or fail to use registered tender forms to pay for Qualifying Purchases may have such Qualifying Purchases added to their Qualifying Purchases history by following the instructions below within 120 days of the sales transaction:

    1. Call 888.735.6679 to speak with a ProZone Customer Care Center representative ("Customer Service") for the Program. Fax copy of the Qualifying Purchase receipt and the Member’s Program Number directly to the attention of the Customer Services representative with whom the Member spoke during the call (888.735.6679).

    2. Log into the Member’s online account and follow the instructions to add the receipt details.

    3. Visit a local Products Direct Pro Desk or Special Services Desk with the Qualifying Purchase receipt to have it added to the Member’s account.

    4. Notwithstanding the preceding, in no event will Qualifying Purchases be added to a Member’s account for any sales transaction completed prior to the date the Member's registration was entered into the Program system.

Privacy

  1. When you enroll in the Program, we will collect your name, address, email address and primary phone number/Program Number. A valid email address is required for membership. By participating in the Program and providing us with this information, you agree that we may use your information to administer your participation in the Program; to send you electronic receipts and other transaction records; for our marketing purposes, which may include sending you emails; and as otherwise described in our Privacy and Security Statement. You also agree that we may share your information with any of our affiliated companies for their marketing purposes. The ProductsDirect.com’s Privacy and Security Statement is available online at www.homedepot.com. We want to assure you that The Products Direct respects your privacy and will not sell or rent your personal information. You can contact us or otherwise communicate your privacy preferences by:

Taxation and other Fees

  1. All federal, state and local income taxes, insurance, licensing, registration, liabilities, surcharges, title fees and any other fees connected to the Program are the sole responsibility of the Member. Winners of any Promotion may need to complete a Form W-9, and The Products Direct will report the value of the prize on a Form 1099 at the end of the year.

Governing Law and Dispute Resolution.

  1. The laws of the State of Kentucky (without regard to its conflict of laws rules) govern these Program rules. At the sole option of The Products Direct, any claim, dispute or controversy arising out of, relating to or concerning in any way the Program or these rules shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its commercial arbitration rules. The decisions of the arbitrators shall be binding and conclusive upon all parties involved, and judgment upon any arbitration award may be entered by any court having competent jurisdiction. IN NO EVENT SHALL THE PRODUCTS DIRECT, ITS AFFILIATES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PROGRAMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE. TO THE EXTENT YOUR STATE DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THIS EXCLUSION MAY NOT APPLY. Each party shall bear its own costs, fees, and expenses associated with any arbitration, except that the parties agree to split equally the costs and expenses of the arbitrator/AAA. The Products Direct may elect not to use arbitration for any individual Claim that you properly file and pursue in a small claims court in your state or municipality. IF ARBITRATION IS CHOSEN BY THE PRODUCTS DIRECT WITH RESPECT TO A CLAIM, YOU WILL NOT HAVE THE RIGHT TO LITIGATE THE CLAIM IN COURT, HAVE A JURY TRIAL, OR ENGAGE IN PRE-ARBITRATION DISCOVERY EXCEPT AS PROVIDED FOR IN THE AAA CODE OF PROCEDURES. FURTHER, YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE IN ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION. This Section shall survive termination of the Program or your participation in it.

TEXT PROGRAM IF WE HAD ONE

    1. Text2Confirm. As part of ProZone, you may join The Products Direct Text2Confirm program to receive automated text messages requesting approval of in-store purchases. By joining The Products Direct Text2Confirm program, you agree to the following terms and conditions:

    2. Text2Confirm text messages are sent by or on behalf of The Products Direct via automated technology to the mobile phone number you provide. You agree to receive text messages requesting approval of in store purchases made on your behalf using your designated credit/debit card. You agree to respond to these requests promptly.

      1. The frequency of text messages you receive depends on the number of purchase authorization requests.

      2. Standard text message and data rates apply. Not all carriers are covered.

      4. Your information will be used as described in these Program Rules and The ProductsDirect.com’s Privacy and Security Statement.

Additional Rules.

  1. Members have no ownership interest in any information, offers, benefits, promotions, coupons, accrued spend, discounts and/or events related to the Program. Accrued spending does not constitute property of Members. Use of the word "accrue" or “earn” in marketing materials in relation to the Program shall mean C. ProZone Program Promotions. From time to time, The Products Direct may conduct sweepstakes and other promotions ("Promotions") for Members. All such Promotions shall be governed by the official rules designated by The Products Direct for each Promotion. Your participation in a Promotion will constitute your acceptance of the applicable official rules.

  2. This Program is not available and is void where prohibited by federal, state or local law or regulation.

  3. Despite our best efforts to ensure accuracy, printing and graphical  errors occasionally occur. The Products Direct reserves the right to correct such errors at any time even if it affects pending program benefits.

  4. By using your membership number to make purchases at The Products Direct, you accept all terms and conditions in these rules and release The Products Direct and hold The Products Direct harmless from any claim, liability or damage relating to the Program.

  5. In the event that you contact or transact any business with third parties providing Business Tools, you acknowledge and agree that (1) your use of such third parties’ services, products, and/or websites is subject to the terms and conditions of any agreements that you enter with such third parties, including without limitation, transaction agreements, purchase orders, terms of use, and/or privacy policies; and (2) The Products Direct is not a party to any agreement that you enter with such third parties, is not responsible for any claims or damages arising from your contacting, transacting business with, or use of any products or services of such third parties, and shall have no liability to you relating to or arising from such third parties.

  6. Fraud or abuse relating to Qualifying Purchases will result in termination of your membership. The Products Direct reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of these rules. Qualifying Purchases history will not begin to be tracked unless and until you have completed the registration requirements set forth herein.

  7. Other terms and conditions may apply to the Program. This document will be updated from time to time with such terms and conditions, and will be available online at prozone-terms-and-conditions.html.
